(a) Except as otherwise specifically provided in the ordinance establishing a board, committee, or commission, at the first meeting of the board, committee or commission held each calendar year, the members shall elect a chair and a vice-chair. The vice-chair shall act in the absence of the chair or in the inability of the chair to act.

(b) A majority of the authorized members of a board, committee or commission shall be a quorum for the transaction of business. The affirmative vote of a majority of the authorized members shall be required to carry a question. In the absence of a quorum for the transaction of business, any number less than a quorum may recess a meeting to a later time or date.

(c) Each board, committee or commission shall meet at the call of the chair, vice-chair, Mayor or City Manager unless otherwise set forth in the ordinance establishing such board, committee, or commission. Meetings shall be held at the time and place designated in the meeting notice.

(d) All meetings of boards, committees or commissions shall be open to the public and notice thereof shall be posted by the City Clerk at the City Hall; provided, that a board, committee or commission may vote to hold a portion of a meeting in executive session to discuss topics set forth in AS 44.62.310(d). A board, committee or commission may hold executive session to discuss matters identified in AS 44.62.310(c).

(e) Procedural rules and order of business for each board, committee or commission shall be established, except as otherwise provided by law, subject to approval by the Council. An appeal or quasi-judicial board, committee, or commission shall establish rules governing proceedings before the board, committee, or commission, subject to approval by the Council. In all matters of procedure not covered by rules adopted by the board, committee, or commission, Robert’s Rules of Order, as revised, shall be applicable and shall govern.

(f) An agenda shall be prepared and published for all meetings of boards, committees and commissions. Minutes of the proceedings of each meeting of a board, committee or commission shall be kept, and such minutes shall record the vote of each member upon every question formally presented for consideration. The minutes shall be filed in the office of the City Clerk and shall be a public record, open to inspection by any person.

(g) Unless otherwise provided for in the specific provisions pertaining to the board, committee, or commission, the City Manager shall appoint one or more City employees as ex officio members for the purpose of acting as secretary, giving notices, keeping minutes, and providing technical support. If specific provisions of the ordinance pertaining to the board, committee or commission does not contain this information and the City Manager does not appoint one or more City employees to perform these duties, the duties shall be performed by the City Clerk. An ex officio member is not entitled to vote on any question nor is an ex officio member included for the purpose of establishing a quorum. [Ord. 09-03, 2009. Code 1979 § 1.12.110.]
